Please read these Terms carefully. They are a binding agreement between you and the Company governing the Axis Waitlist and any optional contribution you choose to make. This page is provided for general information and is not legal advice.

Governing the Axis Waitlist and optional contributions.

These Terms & Conditions (the “Terms”) govern the Axis Waitlist and any optional contribution you make through it, both operated by Axis Marketing AI Inc, a Delaware corporation (“Axis,” the “Company,” “we,” “us”). By joining the Waitlist or making a contribution, you agree to these Terms.

1. The Company

The Waitlist and contributions are operated by Axis Marketing AI Inc, a Delaware corporation, with a mailing address of Axis Marketing AI Inc, 611 South Dupont Highway, Suite 102, Dover, DE 19901. Questions may be sent to help@axismarketing.ai.

2. Eligibility

You must be 18 years of age or older (or the age of majority in your jurisdiction) to join the Waitlist or contribute.
The Waitlist is intended for businesses and the people who run them. One Waitlist entry per email address.
Use of bots, scripts, multiple accounts, or any deceptive means to obtain member benefits may result in removal from the Waitlist and forfeiture of benefits.

3. The Waitlist & Member Benefits

Joining the Waitlist is free. The Waitlist closes once 1,000 founding members have joined; the Company may, in its sole discretion, open additional founding spots at any time. Subject to these Terms and to the platform launching, Waitlist members receive:

Access to the Iron Axe tier, free to start;
Two (2) weeks of early access to the platform ahead of public launch;
50% off any purchase — available to Waitlist members only and valid through October 1, 2026;
A path to earn free months of Silver Axe through referrals (Section 4) and through optional contributions (Section 5).

Member benefits are promotional, are contingent on the platform becoming available, may be modified or discontinued, are limited to Waitlist members, and have no cash value. Benefits are not transferable.

4. Referrals

Each Waitlist member receives a personal referral link. Every three (3) confirmed referrals earns you one (1) free month of Silver Axe, with no limit — every additional three confirmed referrals earns another month. A referral is “confirmed” once the referred person completes a valid Waitlist sign-up using your link or code. Self-referrals, duplicate or multiple accounts, and invalid or unused codes do not count. The Company may verify referrals and may withhold benefits from referral activity it determines to be fraudulent, inauthentic, or in violation of these Terms.

5. Optional Contributions & Apatite

Contributions are entirely optional and are not required to join the Waitlist or to receive any member benefit. If you choose to contribute, you earn Apatite (the Axis platform currency), credited to your account when the platform opens:

10 Apatite for every $1 contributed; and
for contributions over $54: 25 Apatite for every $1, plus 1,000 bonus Apatite and one (1) free month of Silver Axe.

Where the money goes. 75% of each contribution is remitted to a charity you select — Rainforest Trust or charity: water — and the remaining 25% supports the Axis launch. Because the Company retains a portion of each contribution, this is structured as a commercial co-venturer arrangement rather than a direct charitable donation by you.

Contributions are NOT tax-deductible as charitable gifts to the contributor; the Company, not the contributor, makes the charitable transfer of the 75% portion. Payments are processed by Stripe; we do not store full card numbers. Contributions are generally non-refundable except at the Company’s discretion; where a refund is issued, related Apatite and benefits are reversed. Apatite and contribution-based benefits are credited when the platform launches and have no cash value.

6. Communications

When you join, we send a confirmation and may send waitlist, early-access, and launch updates and occasional marketing by email and, with your separate express opt-in, by automated text or WhatsApp message. Consent to marketing messages is not a condition of joining or of contributing. Message frequency varies; message and data rates may apply. Reply STOP to opt out of texts and HELP for help; use the unsubscribe link in any email. Email and SMS are delivered through our provider, Brevo.

7. No Guarantee; Changes to the Program

Member benefits and Apatite are contingent on the Axis platform launching and becoming available to you. We do not guarantee a specific launch date or that every feature or tier will be available at launch. We may, with notice where practicable, modify, suspend, or discontinue the Waitlist or any benefit, including for fraud, abuse, technical issues, or causes beyond our reasonable control. The current version of these Terms posted on our site controls; material changes will be posted before they take effect.

8. Privacy

Information collected through the Waitlist and contributions is used and protected in accordance with the Axis Privacy Policy. By participating, you consent to the collection and use of your information as described there and in these Terms.

9. Disclaimers & Limitation of Liability

The Waitlist and any pre-launch materials are provided “as is” and “as available,” without warranties of any kind to the maximum extent permitted by law. By participating, you agree to release the Company, its affiliates, and their officers, directors, employees, and agents from any liability, loss, or damage arising from the Waitlist, a contribution, or the availability or timing of the platform. To the maximum extent permitted by law, the Released Parties will not be liable for any indirect, incidental, special, consequential, or punitive damages. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless the Company and the Released Parties from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your participation in the Waitlist, your contribution, your breach of these Terms, or your violation of any law or the rights of any third party.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Exclusive jurisdiction and venue lie in the state and federal courts located in New Castle County, Delaware. Except where prohibited, any dispute will be resolved individually, without resort to any form of class action.

12. Severability & Contact
