Official Rules & Terms

Governing the Axis Waitlist and the Charter of Iron promotion.

THE FREE AXIS DEMO EVENT LETS ANY PARTICIPANT REACH THE MAXIMUM ENTRY TOTAL — NO PURCHASE GIVES A BETTER CHANCE OF WINNING.

These Official Rules (the "Rules") govern two related programs operated by Axis Marketing AI Inc, a Delaware corporation ("Axis," the "Sponsor," "we," "us"): (1) the Axis Waitlist, an early-access list, and (2) the Charter of Iron promotion (the "Promotion" or the "drawing"). Joining the Waitlist is not required to enter the Promotion, and entering the Promotion is not required to join the Waitlist. By participating in either program, you agree to these Rules and to the decisions of the Sponsor, which are final and binding in all matters relating to these programs.

1. Sponsor

The Sponsor and operator of both programs is Axis Marketing AI Inc, a Delaware corporation. The Sponsor self-administers this Promotion; there is no separate administrator. The Sponsor's mailing address for all purposes under these Rules (including the alternative method of entry and the winners list) is:

The Promotion is in no way sponsored, endorsed, administered by, or associated with any social media platform (including Instagram, TikTok, X, YouTube, Facebook/Meta, or LinkedIn) or with any prize manufacturer or gift-card issuer named below.

2. Promotion Period & Drawing Dates

The Promotion begins on July 1, 2026 at 12:01 a.m. Eastern Time, when entries open, and entries accrue until the applicable drawing. Entries for the drawings close on September 30, 2026. However, additional entries may continue to be earned through the conclusion of the second live show on October 7, 2026; any entries earned after September 30, 2026 count only toward Drawing 2. The Sponsor's computer is the official timekeeping device for the Promotion.

There are two live drawing shows, streamed live to the public:

• Drawing 1 / Show 1 — October 1, 2026
• Drawing 2 / Show 2 — October 7, 2026

Winners are drawn at random from all eligible entries accrued as of each drawing. Which prize pools are awarded at each show depends on the live user-count milestones described in Section 8. The Sponsor reserves the right to adjust drawing times or stream details for operational reasons and will post any change at the official Promotion site.

3. Eligibility

• Open to individuals who are 18 years of age or older (or the age of majority in their jurisdiction, whichever is greater) at the time of entry.
• Open in all jurisdictions. Void where prohibited by law.
• Employees, officers, directors, contractors, and agents of the Sponsor, and the immediate family members and household members of each, are not eligible.
• Each entrant may participate using only one Axis account and one verified identity. Use of multiple accounts, bots, scripts, or any automated or deceptive means to enter or accrue entries will void all of that person's entries.
• International participation, where permitted, may be subject to currency-conversion and shipping limitations described in Section 9.

4. No Purchase Necessary

No purchase is necessary to enter or to win. Purchases (10 entries per $1) and optional contributions (2 entries per $1) earn additional entries. However, because the Free Axis Demo Event (Section 5.3) awards every participant bonus entries equal to the single highest total obtained by any participant through paid means, the maximum entry total achievable through any purchase or contribution is also achievable for free. As a result, no purchase or contribution gives a participant a better chance of winning than the free Axis Demo Event path.

5. How to Enter (Free)

5.1 Standard Method — Activate a Free Axis Account

After the Axis platform launches, create and activate a free Axis account and schedule at least one (1) post through the Axis Scheduler. Completing this activation qualifies you for the Promotion and registers your first entry. Creating an account is free; scheduling a post is free.

5.2 Free Qualifier Method (AMOE) — Become Eligible Without Product Use

You may become eligible without using the Axis product. Hand-print your full name, mailing address, email address, and phone number on a 3" x 5" card and mail it to the Sponsor mailing address in Section 1 (Axis Marketing AI Inc, Attn: Charter of Iron, 611 South Dupont Highway, Suite 102, Dover, DE 19901). Limit one (1) qualifier entry per person and per household. Mail-in requests must be postmarked by September 1, 2026. Each valid submission yields one entry, equivalent to the free activation entry, and makes you eligible to participate. Mechanically reproduced, photocopied, or illegible submissions are void. The Sponsor is not responsible for lost, late, misdirected, or postage-due mail.

This qualifier method and the Free Axis Demo Event (Section 5.3) are distinct. The qualifier method above is the free way to become eligible; the Axis Demo Event is the free way to reach the maximum entry total available in the Promotion.

5.3 Free Axis Demo Event — Primary Free Method to Reach the Maximum Entry Total

Approximately two (2) weeks before the live drawings, the Sponsor will host a free, live, online "Axis Demo Event," open to anyone. No purchase, account spend, or contribution is required to attend or participate.

• Registering participation. During the event, each participant will be given a link/button to click to register their participation. For anyone who cannot attend the live event, an equal, no-cost alternative — a free web form and/or a mail-in to the Sponsor's Delaware address in Section 1 — will be available during a stated window and will count the same as registering live.
• Bonus entries (the equalizer). After the entry period closes and before the applicable drawing, every Axis Demo Event participant will be awarded bonus entries equal to the single highest total number of entries obtained by any participant through paid means (platform spending at 10 entries per $1 and/or contributions at 2 entries per $1). These bonus entries are added to that participant's existing entries.

Effect: because the maximum entry total achievable through any purchase or contribution is also achievable for free by participating in the Axis Demo Event, no purchase or contribution improves a participant's chance of winning relative to a free participant. No purchase necessary.

6. Earning Entries

After you qualify, you may earn additional entries through the actions below. Entries accrue until the applicable drawing.

How referrals work. When someone joins using your referral link or code, you receive +5 entries for that confirmed referral, with no limit on the number of people you refer. The person who joins with your code also receives a one-time +5 entry welcome bonus. A referral is “confirmed” once the referred person completes a valid Waitlist signup. Self-referrals, duplicate or multiple accounts, and codes that are invalid or never used do not earn entries, and the Sponsor may withhold entries from referral activity it determines to be fraudulent, inauthentic, or in violation of these Rules.

Silver Axe subscribers receive a 2× entry multiplier on entries accrued while their subscription is active. "Apatite" is the Axis platform currency and may be purchased à la carte at $1 = 10 Apatite. Spending is never required to enter or win; equivalent entries are available through the free actions above and through the AMOE in Section 5.2. The Sponsor may verify any action (referral, repost, follow, account activity) before crediting entries and may withhold entries obtained through fraudulent, inauthentic, or policy-violating activity.

7. The Axis Waitlist (Separate Program)

The Waitlist is an early-access list and is not the Promotion. Joining the Waitlist is free and grants the following member perks, subject to availability and to the Sponsor's terms:

• Two (2) weeks of early platform access ahead of public launch;
• 40% off all Apatite purchases;
• 50% off Silver Axe for the member's first month;
• +25 bonus Promotion entries (one-time);
• A 2× Promotion entry multiplier for Silver Axe subscribers.

Waitlist perks are promotional, may be modified or discontinued, and have no cash value. Membership in the Waitlist does not increase the odds of winning beyond the bonus entries expressly stated above, which are also available without purchase.

8. Optional Contribution & Bonus Entries

This section is entirely optional. No contribution is required to enter or to win. Members may choose to make an optional contribution that earns 2 entries per $1 contributed (for example, a $5,000 contribution earns 10,000 entries). Free entries remain available through ordinary engagement — for example, by activating a free account and combining qualifying reposts/shares and confirmed referrals under Section 6 — so no payment is ever necessary to enter or to win.

If a member chooses to contribute: 75% of each contribution is remitted to a charity the member selects from Rainforest Trust or charity: water, and the remainder supports Axis. Because the Sponsor retains a portion of each contribution, this is structured as a commercial co-venture–style arrangement rather than a direct charitable donation by the contributor.

9. Prize Pools & Milestone Unlocks

Prize pools unlock as the number of live Axis users grows. Pools that have unlocked as of a given drawing are awarded at that drawing; pools not yet unlocked do not award. There are five (5) prize pools plus the Forgemaster grand prize, and a participant may win more than once.

"Live users" means activated Axis accounts as counted by the Sponsor's systems at each measurement point. If a milestone is not reached by a drawing date, the corresponding pool may roll to the next drawing or be cancelled at the Sponsor's discretion, and the Sponsor will post the result at the official Promotion site.

10. Prizes & Approximate Retail Values

Approximate retail values ("ARV") are estimates as of the date of these Rules and may vary by market and availability. If an advertised prize becomes unavailable, the Sponsor may substitute a prize of equal or greater value.

Prizes are awarded "as is," are non-transferable, and may not be exchanged or redeemed for cash except at the Sponsor's sole discretion. Any difference between stated ARV and actual value at the time of award will not be paid. Gift cards and third-party prizes are subject to the issuer's or manufacturer's terms. The Forgemaster grand prize bundles one prize from each of the five pools together with a complimentary twelve (12) month subscription to the Golden Axe tier, and does not include any taxes or third-party fees beyond the hardware and gift cards listed. The Sponsor reserves the right to award Apatite credit packs in lieu of, or in addition to, other prizes within a pool. International shipping, customs, duties, and any region restrictions on hardware or gift cards are the responsibility of the winner unless prohibited by law.

11. Odds of Winning

The odds of winning depend on the number of eligible entries received as of the applicable drawing and on the prize pools unlocked under Section 9. Earning more entries through the free or paid actions in Section 6 increases the number of chances an entrant has relative to the total entry pool.

12. Winner Selection, Notification & Claim

Winners are selected by random drawing from all eligible entries during each live show. Potential winners are contacted live during the broadcast: U.S. winners by phone; international winners by WhatsApp, using the contact details on the entrant's account or AMOE submission.

To claim a prize, a potential winner must answer the contact attempt AND correctly state the secret password revealed on the live stream, on the first attempt. Failure to answer, or an incorrect password on that first attempt, results in immediate forfeiture and a re-draw at the Sponsor's discretion.

Where lawful, a potential winner may be required to complete, sign, and return a standard affidavit of eligibility, a liability release, and (except where prohibited) a publicity release, and to provide a valid government-issued ID and, for U.S. prizes meeting the IRS threshold, a completed IRS Form W-9. Failure to return required documents results in forfeiture and a possible re-draw.

13. Taxes

Winners are solely responsible for all federal, state, and local taxes and any other costs associated with the acceptance or use of a prize. For U.S. winners, the Sponsor will issue an IRS Form 1099 for prizes with an aggregate value of $600 or more, and the winner is responsible for any resulting tax liability. Delaware state income tax may also apply. Winners are advised to consult their own tax advisors.

14. Publicity Release

Except where prohibited by law, acceptance of a prize constitutes the winner's consent for the Sponsor and its designees to use the winner's name, likeness, voice, city/state of residence, statements, and prize information for advertising, promotional, and live-broadcast purposes, in any media now known or later developed, worldwide, without further notice, review, approval, or compensation.

15. Cancellation & Modification

The Sponsor reserves the right, in its sole discretion and with notice, to cancel, suspend, or modify the Promotion if the Show 1 unlock threshold (1,000 users / Pool 1) is not reached by September 30, 2026, and also in the event of fraud, technical failures, or causes beyond its reasonable control.

16. Limitation of Liability

By participating, entrants agree to release and hold harmless the Sponsor, its parent, affiliates, and their respective officers, directors, employees, and agents (the "Released Parties") from any liability, loss, injury, or damage of any kind arising from or in connection with the programs or any prize, including without limitation any technical malfunction, lost or misdirected entries, unauthorized access, or events beyond the Sponsor's reasonable control. The Released Parties are not responsible for incorrect or inaccurate entry information, technical failures, or any combination thereof, including any error which may damage an entrant's account or affect entry processing. To the maximum extent permitted by law, in no event will the Released Parties be liable for any indirect, incidental, special, consequential, or punitive damages. Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

17. Indemnification

By participating, each entrant agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to the entrant's participation in the programs, the entrant's acceptance or use of any prize, or the entrant's breach of these Rules or violation of any applicable law or the rights of any third party.

18. Disputes & Governing Law

These Rules and the programs are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Exclusive jurisdiction and venue lie in the state and federal courts located in New Castle County, Delaware — the Delaware Court of Chancery for equitable matters and the U.S. District Court for the District of Delaware or the Delaware Superior Court otherwise. Except where prohibited, any dispute will be resolved individually, without resort to any form of class action.

19. Privacy

Information collected through these programs is used and protected in accordance with the Axis Privacy Policy. By participating, you consent to the collection and use of your information as described there and in these Rules.

20. Winners List

To request the list of winners, mail a request to the Sponsor mailing address in Section 1 (Axis Marketing AI Inc, Attn: Charter of Iron, 611 South Dupont Highway, Suite 102, Dover, DE 19901) within thirty (30) days after the final drawing.

21. General Conditions

• The Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the programs, or acting in violation of these Rules or in an unsportsmanlike or disruptive manner.
• If for any reason the programs cannot run as planned — including infection by computer virus, bugs, tampering, fraud, technical failures, or any cause beyond the Sponsor's reasonable control — the Sponsor reserves the right to cancel, terminate, modify, or suspend the programs and to award prizes from eligible entries received up to the point of the action, where lawful.
• The Sponsor may amend these Rules; the current version posted at the official Promotion site controls. Material changes will be posted before they take effect.
• The programs are subject to all applicable federal, state, and local laws and regulations and are void where prohibited.

22. Severability

If any provision of these Rules is held invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.
